Rumors take flight
over violence, chairman

With a Republican administration, a Democratic Congress and issues that often pit industry v. industry rather than party v. party, or divide in ways otherwise divorced from the straight party line, it's an interesting time to be at the FCC. Chairman Kevin Martin recently went out of his way to dispatch a backlog of agenda items, pushing over ten of them through during the March open meeting. But other issues may be hung up, and Martin may be thinking of hanging up himself, according to a pair of speculative articles in the National Journal. The issue is broadcast violence. The FCC has been rumored to be nearing completion of a Congress-commissioned report which kicked off back in 2004. But like indecency before it, it may be running into 8th Floor philosophical differences. On the indecency topic, Michael Copps (D) and Kevin Martin (R) have been the most enthusiastic proponents of a full-court press to curb it. Former Chairman Michael Powell (R) and Jonathan Adelstein (D) had advocated a more light-handed, First Amendment-conscious approach. It appears that Robert McDowell (R) may be stepping Powell's role on the violence divide. Although speculation is that Deborah Taylor Tate (R) will go with Martin and Copps on the grounds of protecting children, other concerns - like using indecency and violence as a peg upon which to hang an a la carte cable menu recommendation, may be forcing a hold-up. On the Martin front, whispers are beginning on the topic of his exit. With a hostile Congress and the prospects of a new and not necessarily Republican White House, some think he may be ready to test the political waters in his native North Carolina, or the more lucrative waters of the private sector, before the American voters force a fate upon him. Stay tuned.

Is your broadcasting company "trustworthy"?
Forbes magazine has all sorts of lists and the latest is its first annual list of the 100 American companies that "showed the highest degree of accounting transparency and fair dealing to stake-holders during 2006." The evaluation was performed for Forbes by Audit Integrity, an independent Los Angeles firm that does research on corporate governance best practices. Three companies with broadcast holdings made the list. The Accounting and Governance Risk scores for the top 100 ranged from 88 to 78. The Washington Post Company scored 86. Entercom Communications and Hearst-Argyle Television each scored 82.


Are broadcasting markets
divided by language?
Commissioner Michael Copps (D) is concerned that the Univision transaction approved this week was done without consideration of a topic which he doesn't feel was adequately addressed back in 2003 when the Hispanic giant bought Hispanic Broadcasting Corporation, at the time merging the nation's largest Hispanic television and radio broadcasting groups. He acknowledged that the question hardly matters in the immediate instance, since what is changing hands is an existing congregation of stations. However, he is still dismayed that "...the Commission had never formally decided whether Spanish-language programming constitutes a separate market segment that must be analyzed in isolation from English-speaking programming. Then and now, I believe that we need to answer this threshold question before we decide important licensing questions concerning Spanish language stations." Copps is also worried about the group going private where there will be less public scrutiny and more leveraging. "I, for one, have some real questions about how the assumption of massive amounts of debt will affect a media company's stewardship of the airwaves." He also wonders how it is possible to know who has "practical control over the licensees' editorial decisions and financial strategy." He wants the FCC to look into it in the next few months.

RBR observation: We recall that HBC competitor Raul Alarcon and his Spanish Broadcasting System were very much against the sale of the radio group to Univision, and did argue that the Hispanic market was separate from the mainstream. However, we'd say that the Powell FCC, in deciding not to decide, effectively said it was not separate. Since the Univision/HBC train left the station almost four years ago, and there is virtually no chance of a similar group forming in the near future, we'd guess that this study would be a non-starter even if Copps could muster two more 8th Floor votes. As for the private ownership issue, a lot of people have wondering lately if a broadcasting company can be run properly when it is beholden to Wall Street. It seems that many companies that are tethered to the quarterlies wish they could punt. But the broadcast tradition is smaller expert companies, and we gather Copps is more worried about enormous cash investments coming from non-broadcast interests. We'll watch to see if Copps can get this issue an at-bat on the Commission agenda.

ACM nominees span the industry
Radio personalities and stations nominated for the 42nd Annual Academy of Country Music Awards are in markets that range from Philadelphia and Detroit to Cookeville, TN and Watertown, NY. At the national level, the on-air personality nominees are Kix Brooks at ABC Radio Networks and four personalities from Jones Radio Networks: Bill Cody, Bob Kingsley, Lia Knight and Danny Wright. The "on-camera" country music performer nominees were announced several weeks ago. The awards show will be broadcast Tuesday, May 15th, on CBS.

Kaiser rolls out kidvid
food ad study

The Kaiser Family Foundation has a new comprehensive study out on children and advertising, released as part of the mounting pushback against a recent rise in childhood obesity. Suffice it to say that is the eat what they see, on TV anyway, obesity is likely to win. Here are some of the stats Kaiser came up with: In general, food advertising was the top kid category: It accounts for 32% of all ads seen by the younger set, aged 2-7; 25% for tweens (8-12) and 22% for 13-17. Tweens see the most total, however, since much of the viewing for 2-7 is noncom or contains sparse advertising. 2-7s see 12 food ads per day/4.4K per year, tweens see 21 per day/7.6K per year, and 13-17s see 17 per day/6K per year. Those totals do not compare favorably to the amount of pushback from PSAs promoting nutrition and fitness. 2-7s and 8-12s see one such message every two or three days, and 164 per year. 13-17s only see one such message a week, or 47 per year. The breakdown of food ads targeting 17and younger is as follows: 34% for candy/snacks, 28% for cereal, 10% for fast foods, 4% for dairy products, 1% for fruit juice. There were no ads out of 8.85K studies promoting a fruit or vegetable. 20% of the ads try to send kids to a website, 19% offer a toy or other premium, and 11% tie in to a popular character or movie. 15% try to tie the product to an active lifestyle.

Nominees for Hall of Fame
Nominees have been announced for induction into the National Radio Hall of Fame (NRHOF), housed at The Museum of Broadcast Communications (MBC) in Chicago. "Our 2007 list of National Radio Hall of Fame nominees includes immensely talented personalities who have entertained and informed radio audiences from New York, to Fort Wayne to San Francisco. The list also includes several great female broadcasters and minority representation that underscores the diversity of talent in the radio industry," said MBC President Bruce DuMont. Ballots will be mailed in May to radio executives, broadcast historians and all NRHOF members and the voting deadline is August 1st.Winners will be inducted during a national radio broadcast from Chicago on Saturday, November 3rd. ABC Radio will produce and distribute the one-hour broadcast at 10 pm ET.

Steve Grubbs named CEO of Fuse Sports and Entertainment Group
Omnicom Media Group is aligning its sports and entertainment marketing companies in North America under Fuse Sports & Entertainment Group, bringing together a combination of resources that include consulting, strategy development, content creation and distribution. Fuse offers clients fully integrated sports and entertainment solutions that encompass everything from ideation to final distribution. Steve Grubbs, previously Omnicom's PHD North America CEO, becomes CEO of Fuse Sports and Entertainment Group NA, announced Daryl Simm, Chairman and CEO of Omnicom Media Group. Matt Seiler, PHD USA President, takes the CEO role at PHD. "Fuse contains the component parts necessary to create a superior and compelling resource for our clients," said Grubbs. "I am thrilled to be working with the leaders of these four companies in two disciplines, sports and entertainment, that I have always felt passionate about over my career." Robert Riesenberg, CEO of Full Circle Entertainment, now adds the additional title of President of Fuse Sports & Entertainment Group. Fuse Sports & Entertainment Group aligns four top specialist companies in the sports and entertainment marketing arena, including Optimum Entertainment, Optimum Sports, Full-Circle Entertainment and Highway Entertainment. All of the executives will report to Grubbs who reports to Simm. The Fuse network of sports and entertainment companies now has offices in more than 20 countries across North America, Europe and Asia Pacific.

Emmis Chicago launches exec. branding effort
Emmis' Chicago-based WKQX-FM ("Q101.1 FM") and WLUP-FM (The Loop) have hired MWW Group to lead an executive branding campaign to raise the profile of each station's key execs as industry thought leaders in areas such as fully integrated and implemented 360-degree marketing and the latest in PPM radio technology. "We know it's different for radio stations to go out and hire PR experts," said Marv Nyren, regional vice president, Emmis Radio, and VP/Market Manager for WKQX-FM/WLUP-FM. "But because what we're doing is so different, it really qualifies as newsworthy. We're taking singularly unique approaches in both our programming and marketing, and we are prepared to talk about it." Marketing and ad programs developed by Emmis Radio Chicago's marketing sales staff includes the traditional broadcast radio format as well as podcasting, audio streaming, music e-commerce, extensive and customized web content, event marketing, affinity programs such as listener databases and mobile marketing such as text messaging interaction.

Close encounters in Omaha
Journal Broadcast Group added an Omaha station to its portfolio and let one go. KMTV-TV, the city's Channel 3 CBS outlet, is now officially in the fold. It was part of a 235M deal with Emmis which also included KGUN-TV Tucson & WFTX-TV Fort Myers-Naples FL. The transaction was filed at the FCC 8/29/05. Journal has been running the station under an LMA since 12/5/05. Also, the third plank of a radio sell-off to enable the television acquisition came to a conclusion. After earlier selling KHLP-AM to Salem for 900K and KBBX-FM to Connoisseur for 7.5M, Journal spun KOMJ-AM to Cochise Broadcasting for 500K. Kalil & Co. handled the KOMJ sale.

FCC gavels Auction #70 to a close
60 bidders are the proud holders of building rights to 111 FM CPs, following the 83-round auction which concluded on Monday 3/26/07. The sale took place in the FCC's bargain basement, compared to the 214-CP FM Auction No. 62 held in January 2006. That session pulled in 54.26M after deductions on just over 70M in gross bids. This time around, the numbers were 21.3M on just under 24.5M in gross bids. The FCC was unable to find a taker for nine of the offerings. Able Radio Corporation paid the top sticker price, 1.659M for a C3 out of Aguila AZ. Stroh Communications came in second with a 1.431M gross/930,150 net bid for a Class A in New Hope AL. No other CPs carried a seven-figure price tag in either category. Able scored one more CP, spending a total of 1.699M to lead all bidders. KM Communications picked up the most sticks, 10, on total bidding of only 242.8K.

Zorro exits Yakima
Bustos Media announced that its only stations not carrying a nationally syndicated format have come into the fold. The "Zorro" format which had been carried only on three stations in Washington - KZTA-FM Yakima, KZTB-FM Tri-Cities and KZML-FM Moses Lake - is no more. The three are now carrying "Ke Buena," a hard-hitting Regional Mexican format. Bustos Media owns and operates 25 radio stations and two television stations in mid-size markets with growing Hispanic populations. Its three syndicated formats have over 50 affiliates.

MTV Networks signs Pepsi, Intel
as charter sponsors for mobile

MTV Networks announced that Pepsi-Cola North America and Intel Corporation have signed on as charter sponsors for a variety of MTVN's mobile offerings. The move, which marks the first time MTVN is selling advertising across its mobile portfolio, represents new opportunities for marketers to bring their brands to life in an integrated fashion across MTVN's digital platforms, from online to wireless. Intel and Pepsi brands will feature prominently on the MTV and Comedy Central mobile TV channels, as well as the new MTV, VH1 and Comedy Central mobile websites debuted yesterday. Content includes: MTV shows "The Real World," "The Hills," "Engaged and Underage," "Bam's Unholy Union," "My Super Sweet 16," "Two-A-Days," "Next," "Exposed" and "True Life"; Comedy Central shows "The Colbert Report," "South Park" and "The Daily Show with Jon Stewart." In addition, MTVN's CMT, Logo, Nickelodeon, Spike TV, and TV Land will be launching mobile websites beginning in second quarter 2007.

Yahoo! Telemundo research unveiled for online Hispanics
Online Hispanics in the U.S. are "media mavens," consuming and adopting media and technology at a higher rate than the general population, according to new research released today by Yahoo! Telemundo and Experian Simmons Research. The study found that Hispanics lead the general market in "media meshing" and use of key mobile phone features as they spend more than half of each day engaged with television, Internet and technology gadgets. Overall, Hispanics identified 51 hours of total daily activities, including 14 hours with technology and 13.5 hours with media. Online U.S. Hispanics regularly combine TV and Internet to enrich their media experience and would like to see more online options in Spanish.

Bernanke sends stocks lower
Comments by Fed chief Ben Bernanke that he was concerned about inflation sent stock prices down on Wednesday. The Dow Industrials were off 97 points, or 0.8%, to 12,300.

Radio stocks were no exception. The Radio Index declined 1.131, or 0.7%, to 153.005. Salem fell 3.5% as the worst performer. Emmis went the other way, up 3.2%.

Stakeholders well
on their way to
DTV deadline

Some politicians still seem very leery of the rapidly approaching day when analog broadcast television is turned off for good, but representatives of the four main stakeholders - broadcasters, cable, manufacturers and retailers, seem confident that the situation is well in hand. Barrington Broadcasting's Jim Yager, testifying on behalf of the NAB and all broadcasters, made no bones about it - citizens are the industry's lifeblood, and there is no getting this wrong from a business standpoint. Telecommunications and the Internet Subcommittee Chairman Ed Markey (D-MA) kicked off the session asking for "high definition clarity about the DTV transition," and stated the general Democratic belief that the Republicans in the last Congress underfunded the transition. He was echoed by Energy and Commerce Chairman John Dingell, who said, "I have great apprehensions that a fine mess lies before us." Ranking Member Fred Upton (R-MI) disagreed, and in a moment of what we guess you'd call prepraise, said, "Broadcasters should be commended for the work they're going to do" to smooth the way for the transition. That is the major issue, whether enough money has been allocated to set-top digital-to-analog converters and consumer education. Stakeholders testified about the steps they are taking, and Alex Nogales of the National Hispanic Media Coalition made the case for assuring that all Americans receive the necessary education. Mary Fetchet, Founding Director of the Voices of September 11 made an emotional and effective appeal for rapid adoption of first responder communications upgrades that are tied to the transition.

TVBR observation: John Shimkus (R-IL), arguing that enough money was indeed allocated for the coupons, quoted a study suggesting that only 25% of off-air-only consumers will want converter boxes. We find that a little hard to swallow, when their option will be a blank screen. Still it is true that many will pick up a new TV or finally subscribe to an MVPD service. The Republicans on the Committee, while not conceding the Democrats' prediction that more money will be needed, generally indicated they would support additional funding if necessary.

Univision deal is a go
Jerrold Perenchio is letting go, and Haim Saban is taking over, now that the FCC has approved the sale of Univision in a stock deal that will move the USA's largest Hispanic broadcaster over to an ownership groups comprised largely of private equity companies. As reported, the FCC granted the transaction with the condition that the company pay an extraordinarily high fine of 24M for failing to meet its children's educational programming obligation. However, the 24M figure pales in comparison with the 13.7B in estimated value for the transaction. RBR attributed 10.4B of that to the television properties and 3.3B to the radio side. Odds against XM-Sirius
Back when Sirius and XM agreed to merge, Sirius CEO Mel Karmazin insisted that the chance of winning regulatory approval was better than 50% (2/21/07 RBR #36). Even after a round of generally negative hearings on Capitol Hill, there has been no word of the Zen Master changing his math. But stock traders are losing faith.

RBR observation: We think even that 30% view is pretty optimistic. Everyone seems to focus on the FCC and somehow forget that the Antitrust Division of the US Department of Justice also has to give its consent. That looks even less likely than putting together a 3-2 FCC majority vote. RBR believes, and continue to believe, that the chance of getting this merger approved is in the 10% area.

Hollander out,
Mason in at CBS Radio
Just days after rumors began to circulate that Joel Hollander was soon to depart as CEO of CBS Radio, that is fait accompli and Dan Mason is back at CBS Radio as President and CEO. It is a return engagement. Mason was President of CBS Radio from 1995 to 2002, during which time he merged together the operations of Group W Radio, which he had previously headed, CBS, Infinity and American Radio Systems. Mason begins CEO duties on April 16th and he told RBR that his priorities are easy. First goal is to get into the field and meet all managers. "I want to get inside all clusters and make sure our products are effective but more important managers needed to know I will give them control to run their operations with accountability." Mason emphasized to RBR that radio is a local business and feels strongly not taking control out of local managers and programmers hands. The second goal said Mason is "I will concentrate on technology and the use of the FM spectrum, namely digital radio." Mason will be based in NYC.

RBR observation: For those of you who do not know Mason his roots are deep as a PD and a damn good one. He is not your typical CEO in other words not a numbers cruncher. Also this is not a job that he needs to feed himself but more importantly a position that he desires as his goal is to make a strong difference for the radio medium especially in the world of HD. Mason is a stand up pro. Mason's return to controlling a major group of CBS will also be a breath of fresh air to the CEO roundtable. New workable ideas with a proactive strategy are needed and Mason is the radio guy to shake things up. Listen to this man as he will make a difference for our radio business.
