Jeff Smulyan will use sale to refinance Emmis (audio)
Emmis Communications CEO Jeff Smulyan says it is painful to sell three of the company's big market stations but it was necessary so Emmis can do a refinancing. He's hoping that Randy Michaels will build Merlin Media into a big company, which is why Emmis is taking equity in Merlin as part of the deal with Michaels and the GTCR private equity group.

RBR-TVBR observation: It is a very complicated deal, but gives Jeff Smulyan what he has to have - a way to refinance Emmis. From our point of view, radio is always more fun when Randy Michaels is in the game. We're trying to imagine Randy sitting around smoking cigars and playing poker with Reed Hundt, but that image just won't focus. Hey, maybe the ex-Chairman has changed! More...

Randy Michaels back in radio as Emmis spins major market FMs
Will Randy Michaels be able to recreate the wizardry that catapulted him to the upper echelon of radio executives during his career? Investment gurus at GTCR seem to think so, and they're using a wizard's name to identify their new radio company - Merlin Media - which is getting one Emmis FM in New York and both of its Chicago FMs. More...

NABJ blasts networks for lack of diversity
Yet again one of the three major network daily newscasts has a new anchor and not one of them has a person of color in the anchor chair. That's not sitting well with the National Association of Black Journalists (NABJ).

RBR-TVBR observation: We don't understand the Glenn Beck reference, but it is undeniably true that every primary evening news anchor in the history of US network television (the Big Three) has been white. The latest change altered the count from two white women and one white man to two white men and one white woman. More...

MLB sends Dodgers/Fox rights deal to the showers
The Los Angeles Dodgers are one of Major League Baseball's marquee franchises, but they are also in deep financial trouble, much of which is related to the personal travails of the team's ownership. MLB has struck down a deal with Fox for 17 years worth of broadcast rights that Commissioner Bud Selig determined was not in the best interests of the team and its fans. More...

Study says local broadcasting creates $1T-plus annually

Tribune back in talks for Orange County Register
Crain's Chicago Business reports Tribune, which owns the LA Times and Chicago Tribune, is back in talks with Freedom Communications to purchase the Orange County Register in California.

RBR-TVBR observation: Tribune's bid could be dicey, due to its ongoing bankruptcy proceedings. However, offering up ad packages that covered LA County, Orange County and San Bernardino County could be a very lucrative business-one ad buy would reach readers in just about all of SoCal. No word if the papers would be officially combined, but duplicative, back office functions savings would likely be taken advantage of. More...

The set top box CHEAT SHEET
By Pat Liguori, SVP, Research & Electronic Measurement, ABC Owned Television Stations and Chair of the Council for Research Excellence's Set Top Box Committee
It's been 13 months since the Council for Research Excellence (CRE) issued the first-of-its kind white paper on the use of set-top boxes (STB) for audience measurement. The intent of the paper was to bring to the industry knowledge of this burgeoning measurement tool, about which little was known at the time. Despite all that's been published and presented, many within our industry have yet to avail themselves of these materials. See the "cliff notes" at RBR.com. More...

Cable to parallel broadcast this upfront?
As most have predicted, cable is rocking the upfront this year. While upfront negotiations with the cable nets are still set to continue until the end of the month, according to a WSJ story ad deals for the biggest cable channels are almost wrapped up, and rates have risen between 9% and 16% from last year.

RBR-TVBR observation: As we mentioned in a previous story, the evidence is certainly out there that Pay TV households are on the rise. Remember-broadcast only has a handful of networks. Cable nets - and their carriage - just keeps growing. More...

Contract Close-up
Placing Your Trust in a Trustee: Spinning off Stations
Contract: Townsquare Media deal to acquire 12 stations in Tri-Cities and Yakima WA from Revitalization Partners. A radio group is buying stations from a receiver appointed to sell them out of bankruptcy, but because it already has a strong presence in the markets where the desired stations are located, it needs to appoint a trustee on the other end of the deal to stay within the FCC's ownership caps. Communications law expert John M. Pelkey of Garvey Schubert Barer walks us through contract provisions designed to get this complex transaction done as expeditiously as possible. More...

How Emmis came to own its exiting FM trio
If RBR-TVBR calculations hold up, the sale of WRXP-FM in New York and WKQX-FM and WLUP-FM in Chicago will come home at just a little less than $200M in cash and other consideration. Not surprisingly, seller Emmis spent a bit more than that to get them. More...

Cross-ownership waivers extended again
For years now, the FCC rules and regulations regarding broadcast ownership and broadcast/print cross-ownership have been under review and hung up in the courts, and hanging in the balance have been a number of cross-owned combos that are soldiering on under waivers. truTV launches "Wanna Be on TV?" video challenge
Here's a chance for viewers to get their videos online and possibly on TV, while getting paid for it: truTV and Dailymotion have launched the truTV "Wanna Be on TV?" Video Challenge. It invites viewers to upload their original videos of outrageous, embarrassing and bizarre caught-on-camera moments to Dailymotion for a chance to be featured on truTV and receive $100 per selected video.

RBR-TVBR observation: It fits in well with truTV's all-reality programming and aims to put a hurt on the America's Funniest Home Videos franchise. This, at a much lower cost, without forking over the big prizes offered up by ABC/ABC Family on AFV. It's also good to test the waters online first before committing to a TV show. Good use of technology here to save money. More...

Fox dumps two more Nexstar-owned affiliates
Having already moved its network affiliation in Evansville, IN after failing to come to renewal terms with Nexstar, Fox has now announced affiliation deals with new stations in two more markets to displace Nexstar stations.

RBR-TVBR observation: Is it disloyal of Fox to abandon affiliates who helped build its fledgling network to #1 in the key 18-49 demo? Sure, but then it was disloyal of many stations to dump ABC, CBS or NBC in favor of Fox back when it won NFL rights in 1993.

Oaktree sets its
sights on NYSE

RBR-TVBR observation: As we noted earlier, this is not a signal that radio companies are headed back to Wall Street. It's a signal perhaps that financial management companies are headed there, and Oaktree will soon have company from Carlyle Group within that sector. But radio makes up a tiny percentage of its portfolio, so this cannot be seen as a radio stock offering.
